Terms of Service — AUREM CTO Dev

1. Agreement

By accessing or using AUREM CTO Dev ("Service") at auremcto.com, you agree to these Terms. If you do not agree, do not use the Service.

The Service is operated by Polaris Built Inc ("Company", "we", "us").

2. Service Description

AUREM CTO Dev is an AI-powered developer tool that:

  • Reads code from GitHub repositories you connect
  • Generates code changes using AI models
  • Commits code directly to your GitHub repositories
  • Stores project memory and preferences

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are 18 or older.

4. Your Account

  • You are responsible for all activity under your account
  • You must provide accurate information
  • You must keep your credentials secure
  • You must notify us immediately of unauthorized access
  • We may suspend accounts that violate these Terms

5. GitHub Access & Your Code

You grant us permission to:

  • Read files from repositories you explicitly connect
  • Write commits to repositories you explicitly connect
  • Store repository context to improve your experience

We will not:

  • Access repositories you have not connected
  • Share your code with other users
  • Use your code to train AI models
  • Sell or transfer your code to third parties

Your code remains yours. We store GitHub tokens encrypted at rest and never expose them in API responses or logs.

6. AI-Generated Code — IMPORTANT DISCLAIMER

THE SERVICE USES ARTIFICIAL INTELLIGENCE TO GENERATE CODE. YOU ACKNOWLEDGE:

  • AI-generated code may contain errors, bugs, or security vulnerabilities
  • You are solely responsible for reviewing code before deploying to production
  • You are solely responsible for all code committed to your repositories
  • We do not guarantee that AI-generated code is correct, secure, or fit for any purpose
  • We strongly recommend testing all AI-generated code before use in production systems

USE THE SERVICE AT YOUR OWN RISK. WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM AI-GENERATED CODE.

7. Acceptable Use

You agree NOT to use the Service to:

  • Generate malware, viruses, ransomware, or malicious code
  • Circumvent security systems or gain unauthorized access
  • Generate code that violates applicable laws
  • Violate intellectual property rights
  • Generate spam or automated abuse tools
  • Reverse engineer the Service
  • Resell or sublicense the Service without permission
  • Exceed rate limits or abuse the infrastructure
  • Use the Service for illegal activities

We reserve the right to terminate accounts that violate these rules without refund.

8. Intellectual Property

Your content: You retain all rights to your code, repositories, and data.

Our content: The Service, its interface, branding, and underlying technology are owned by Polaris Built Inc and protected by copyright and intellectual property laws.

AI output: Code generated by the Service based on your instructions is considered your work product, subject to applicable laws regarding AI-generated content in your jurisdiction.

9. Subscriptions & Billing

  • Subscriptions are billed monthly in advance in USD
  • Prices are subject to change with 30 days notice
  • No refunds for partial months
  • Cancellation takes effect at end of current billing period
  • Free tier is provided as-is with no service guarantees
  • We use Stripe to process payments — your payment data is subject to Stripe's terms

Refund Policy: We offer refunds within 7 days of initial subscription if you have not used more than 10 tasks. Contact ora@aurem.live.

10. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

  • We store only what is necessary to provide the Service
  • GitHub tokens are encrypted at rest
  • We do not sell your personal data
  • We comply with GDPR (EU), PIPEDA (Canada), and CCPA (California)

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR: DATA LOSS, LOST PROFITS, BUSINESS INTERRUPTION, OR DAMAGE CAUSED BY AI-GENERATED CODE

Some jurisdictions do not allow limitation of liability — in those jurisdictions, liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Polaris Built Inc and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Code generated at your direction
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

We may terminate or suspend your account at any time for:

  • Violation of these Terms
  • Non-payment
  • Extended inactivity (12+ months on free tier)
  • Legal requirements

You may cancel your account at any time from Settings.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law provisions.

Disputes shall be resolved in the courts of Ontario, Canada. If you are an EU resident, you may also have rights under EU law.

15. Changes to Terms

We may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use after changes constitutes acceptance.
